Terms of Service

These terms govern the services NaiForge provides — web design, web development, ecommerce, and related work — to clients based in Kenya and neighboring East African markets. Plain English where possible; legal precision where it matters.

By engaging NaiForge for any paid work, you agree to these terms. By browsing naiforge.com without engaging us, only the browser-level terms (privacy, cookies) apply — see Privacy Policy.

Who we are

NaiForge is a productized web development studio operating as a registered Kenyan business, with primary operations in Karen, Nairobi. Contact: hello@naiforge.com, +254 790 117 953.

Services and pricing

NaiForge provides three core services — Ecommerce, Web Design, and Web Development. Productized packages with fixed prices and fixed delivery timelines are listed at naiforge.com/pricing.

Prices on the pricing page are the prices we charge. No undisclosed fees, no sticker-shock at invoice. Custom work beyond the productized tiers is scoped and quoted in writing before any work begins.

Payment terms

  1. 50% deposit to start. Payable on written acceptance of the quote. We reserve your build slot only after the deposit clears.
  2. Balance on delivery. Due when the completed site is handed over and launched to your production domain.
  3. Payment methods. M-Pesa (Till or Paybill — details on invoice), bank transfer to our Kenyan bank account, or USD wire for international clients.
  4. Late payment. Invoices unpaid 14 days past due may incur a reasonable late-payment fee. We'd rather not. Email us before that happens if there's an issue.
  5. Revisions beyond included rounds. KES 3,000 per additional revision unless a different rate is agreed in writing.

Delivery and timelines

Productized-tier timelines are shown on the pricing page (Starter 5-7 days, Standard 2 weeks, Premium 3-4 weeks). Timelines start on the later of: (a) deposit clearance, (b) receipt of all client-provided materials (product photos, descriptions, logo, M-Pesa Till/Paybill details, access credentials where needed).

Delays caused by waiting on client materials extend the timeline correspondingly. We notify clients within 2 working days if client-side materials are missing.

What you receive

On completion and balance payment, you receive:

  • A live website on your domain, with SSL active
  • Admin access credentials (CMS panel, email account integrations, analytics)
  • Full source code (Git repository access or downloadable archive)
  • Any client-facing documentation relevant to operating the site

Intellectual property and ownership

On balance payment, intellectual property in the deliverables transfers to you with the following exceptions:

  • Third-party code, fonts, and libraries retain their original licenses (e.g. open-source React, Tailwind, GSAP; licensed fonts). You receive the right to use them as built into your site under those licenses.
  • NaiForge design system elements we reuse across clients (internal design-system tokens, helper utilities) remain ours. You receive a perpetual, transferable license to use them as part of your delivered site.
  • Portfolio rights. We retain the right to showcase the work in our portfolio, with your company name and project details, unless you request otherwise in writing before launch.

Revisions and scope

Each tier includes a specific number of revision rounds (Starter: 1, Standard: 2, Premium: unlimited during build). A "revision round" means a consolidated round of feedback delivered after a review checkpoint, not continuous real-time changes.

Out-of-scope requests (new features beyond the agreed brief, additional pages beyond the included count, fundamental design pivots mid-build) are quoted separately as change orders. We'll never apply a change order without written approval.

Cancellation and refunds

Before work begins: full refund of deposit minus any scoping/preparation costs incurred (typically 0-10% of deposit).

After work begins: deposit is non-refundable but we honour the work already done — you receive any completed assets, design work, and code committed to date. No balance due.

On delivery: if the delivered work materially fails to meet the agreed brief and we cannot resolve it within 14 days, full refund of deposit and you retain no rights to the incomplete deliverables. This has never happened in our history and we don't plan to make it happen.

Warranty and support

We warrant that on delivery, the site will function substantially as agreed in the brief. Bug fixes for issues present at launch are free of charge for 30 days after handover.

Post-warranty maintenance (bug fixes, minor changes, M-Pesa troubleshooting) is available at KES 5,000/month or KES 3,000 per ad-hoc task. Premium tier includes the first month free.

We do not warrant that: third-party services used by your site (M-Pesa, courier APIs, email providers) will never experience downtime; your site will rank on specific Google queries (SEO is stochastic); or that future browser/platform changes won't require future adjustments.

Limitation of liability

To the fullest extent permitted by Kenyan law, NaiForge's total liability for any claim arising from our services is limited to the fees paid by you for the specific project giving rise to the claim.

We are not liable for: loss of revenue or profit; loss of reputation or goodwill; third-party service failures (M-Pesa outages, courier losses, hosting-provider downtime beyond our control); data loss where you haven't maintained your own backups after handover.

These limits do not apply where prohibited by law, including in cases of willful misconduct or gross negligence on our part.

Client obligations

You agree to:

  • Provide accurate, complete information for the brief
  • Own (or have licensed rights to) all content you provide — photos, text, logos, videos
  • Comply with all applicable Kenyan laws in your business operations (we're not your lawyers)
  • Pay on time per the terms
  • Maintain backups of your site after handover

Confidentiality

We treat any non-public information you share with us (business plans, customer lists, unreleased products, financials) as confidential. We do not disclose it outside the NaiForge team working on your project and do not use it for anything other than delivering your work.

This obligation survives termination of our engagement.

Disputes and governing law

These terms are governed by the laws of Kenya. Any dispute arising from our engagement will first be attempted to be resolved through good-faith negotiation (start with a phone call). If that fails within 30 days, disputes are subject to the non-exclusive jurisdiction of the Kenyan courts.

For most small-value disputes, mediation via a mutually-agreed mediator is preferred before litigation.

Changes to these terms

We update these terms when our services or legal context change materially. The "Last updated" date at the top reflects the current version. For active engagements, the terms in effect at the time of your quote acceptance apply — we don't retroactively change terms on in-progress work.
